PLEASE READ THIS AGREEMENT CAREFULLY! IT CONTAINS VERY IMPORTANT INFORMATION ABOUT YOUR RIGHTS AND OBLIGATIONS, AS WELL AS LIMITATIONS AND EXCLUSIONS THAT MAY APPLY TO YOU.

Definitions for purposes of these Terms of Use

1. The Charity Club, LLC = The Charity Club = "TCC"
   2. You = Any Person, Business, or Entity that accesses this website.
   3. Terms of Use = "TOU"
   4. All Services offered by TCC = "Services"
   5. All Information provided in any form by TCC = "Content"

TCC offers these Services to you subject to the following TOU

Services

TCC offers users access to a collection of resources, including Information about living in the Las Vegas area, Las Vegas area Real Estate, Local MLS Listings, Real Estate Representation, Charities & Businesses, calendars and schedules, communication tools, forums, shopping services, search services, personalized content, email announcements, newsletters, etc.

Limited License

TCC hereby grants you a non-exclusive, non-transferable, limited right to access, display and use of the site, and all Contents on the site, for your personal, non-commercial purposes.

Your Acceptance of these TOU

By using these Services you agree to be bound by these TOU and any posted guidelines and rules contained herein; and any changes to the TOU and any posted guidelines and rules which may be updated by us from time to time without notice to you. These changes become effective when posted to this site and your use of this site or included information after the posting of such changes will be considered your acceptance of the changes.

You acknowledge and agree that TCC owns all legal right, title and interest in and to these Services, including any intellectual property rights which subsist in the Services (whether those rights happen to be registered or not, and wherever in the world those rights may exist). You further acknowledge that these Services may contain information which is designated confidential by TCC and that you shall not disclose such information without TCC's prior written consent.

You acknowledge and agree that TCC's Services contain proprietary and confidential information that is protected by applicable intellectual property and other laws. You further acknowledge and agree that Content contained in advertisements or information presented to you through these Services or by charities or businesses is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. Except as expressly permitted by applicable law or as authorized by TCC or the applicable licensor, you agree not to modify, rent, lease, loan, sell, distribute, transmit, broadcast, publicly perform or create derivative works based on these Services.

Unless you have a written agreement with TCC, you may not use any of TCC's trade names, trade marks, service marks, logos, domain names, and other distinctive brand features.

TCC is constantly innovating in order to provide the best possible experience for its users. You acknowledge and agree that the form and nature of these Services which TCC provides may change from time to time without prior notice to you. TCC reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, any of these Services (or any part thereof) with or without notice. You agree that TCC shall not be liable to you or to any third party for any modification, suspension or discontinuance of these Services (or any part thereof).

You understand that all information, data, text, software, music, sound, photographs, graphics, music, video, messages, tags, or other materials, whether publicly posted or privately transmitted, are the sole responsibility of the person from whom such Content originated. TCC Services may provide, or third parties may provide, links to other World Wide Web sites or resources. You acknowledge and agree that TCC is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any Content, advertising, products or other materials on or available from such sites or resources. You further acknowledge and agree that TCC shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such Content, goods or services available on or through any such site or resource.

Your correspondence or business dealings with, or participation in promotions of Charities & Businesses found on or through these Services, including payment and delivery of related goods or services, or donations, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such Charity or Business. You acknowledge that TCC is not responsible for the accuracy, copyright compliance, legality, decency, or any other aspect of the contents or any transmissions received through such sites. The inclusion of such a link or frame does not imply endorsement of this site by TCC. You agree that TCC shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such Charities or Businesses on these Services.

You also may be subject to additional terms and conditions that may apply when you use any Charity or Business Services contacted through your use of these Services.

TCC reserves the right (but shall have no obligation) to pre-screen Content; and in their sole discretion to pre-screen, refuse, modify, or remove any Content that is available via the TCC Services. Without limiting the foregoing, TCC and its designees shall have the right to remove any Content that violates the TOU or is otherwise objectionable. You agree that you must evaluate, and bear all risks associated with the use of any Content, including any reliance on the accuracy, completeness, or usefulness of such Content, whether submitted by TCC or any Third Party.

You agree to indemnify and hold TCC and its subsidiaries, affiliates, officers, agents, employees, partners and members harmless from any claim or demand, including reasonable attorneys' fees, arising from any use of this Content.

Except as may be explicitly permitted through this site, you agree not to save, download, cut and paste, sell, license, rent, lease, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit, or create derivative works from materials, code or content on or from this site. Systematic retrieval of data or other content from this site to create or compile, directly or indirectly, a collection, compilation, database or directory without written permission from TCC is prohibited. You agree that you will not upload, post, email, transmit or otherwise make available any Content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable.

You agree that you will not upload, post, email, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of unauthorized solicitation whatsoever.

You agree that you will not upload, post, email, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment.

You agree that you shall not try to reverse engineer, reverse assemble, reverse compile, decompile, disassemble, translate or otherwise alter any executable code, contents or materials on or received via this site. You understand that such actions are likely to subject you to serious civil and criminal legal penalties and that TCC shall pursue such penalties to the full extent of the law to protect its rights and the rights of its other licensors.

You agree that you will not engage in any activity that interferes with or disrupts the Services (or the servers and networks which are connected to the Services).

You agree that you will not impersonate any person or entity, including, but not limited to, any TCC officer, forum leader, guide or host, or falsely state or otherwise misrepresent your affiliation with any person or entity.

You agree that you will not intentionally or unintentionally violate any applicable local, state, national or international law.

You agree that you will not provide material support or resources (or to conceal or disguise the nature, location, source, or ownership of material support or resources) to any organization(s) designated by the United States government as a foreign terrorist organization pursuant to section 219 of the Immigration and Nationality Act.

You agree that you are solely responsible for (and that TCC has no responsibility to you or to any third party for) any breach of your obligations under these TOU and for the consequences (including any loss or damage which TCC may suffer) of any such breach.

You agree and understand that you are responsible for maintaining the confidentiality of your password and account and are fully responsible for all activities that occur in connection with your password or account. You agree to immediately notify TCC of any unauthorized use of your password or account or any other breach of security, and TCC cannot and will not be liable for any loss or damage arising from your failure to comply.

You agree that TCC may provide you with notices, including those regarding changes to the TOU, including by but not limited to email, regular mail, SMS, MMS, text message and/or postings on these Services. TCC may also provide any information you supply to the Charities and Businesses so that they may also provide you with notices.

You agree to use this website and/or information in accordance with TCC’s Privacy Policy. This policy explains how TCC treats your personal information, and protects your privacy, when you use the Services.

You understand and agree that TCC may terminate this agreement with you at any time, with or without cause, and deny you access to this website and/or Services. If this termination is the result of TCC getting notice of any alleged use on your part that may be in violation of any local, state, or federal law; TCC may disclose your identity and any contact information, if requested by a government or law enforcement body or as a result of a subpoena or other legal action, and TCC shall not be liable for damages or results thereof and you agree not to bring any action or claim against TCC for such disclosure.

YOU EXPRESSLY UNDERSTAND AND AGREE THAT YOUR USE OF THESE SERVICES IS AT YOUR SOLE RISK AND THAT THESE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS .

TCC AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

TCC AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS MAKE NO WARRANTY THAT (a) THESE SERVICES WILL MEET YOUR REQUIREMENTS; (b) THESE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE; (c) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THESE SERVICES WILL BE ACCURATE OR RELIABLE; (d) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THESE SERVICES WILL MEET YOUR EXPECTATIONS.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM TCC OR THROUGH THESE SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TOU.

YOU EXPRESSLY UNDERSTAND AND AGREE THAT TCC AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS SHALL NOT BE LIABLE TO YOU FOR ANY PUNITIVE, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF TCC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (a) THE USE OR THE INABILITY TO USE THIS SERVICE; (b) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES; (c) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (d) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THIS SERVICE; OR (e) ANY OTHER MATTER RELATING TO THIS SERVICE.

YOU EXPRESSLY UNDERSTAND AND AGREE THAT TCC AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS SHALL NOT BE LIABLE TO YOU FOR ANY LOSS OR DAMAGE WHICH MAY BE INCURRED BY YOU, INCLUDING BUT NOT LIMITED TO LOSS OR DAMAGE AS A RESULT OF ANY RELIANCE PLACED BY YOU ON THE COMPLETENESS, ACCURACY OR EXISTENCE OF ANY ADVERTISING, OR AS A RESULT OF ANY RELATIONSHIP OR TRANSACTION BETWEEN YOU AND ANY CHARITY OR BUSINESS WHOSE ADVERTISING APPEARS ON THESE SERVICES.

YOU AGREE TO DEFEND, INDEMNIFY, HOLD HARMLESS TCC, ITS ADVERTISERS, LICENSORS, SUBSIDIARIES, AND OTHER AFFILIATED COMPANIES, AND THEIR EMPLOYEES, CONTRACTORS, OFFICERS, AGENTS AND DIRECTORS FROM ALL LIABILITIES, CLAIMS, AND EXPENSES, INCLUDING ATTORNEY'S FEES, THAT ARISE FROM THE USE OF THIS SITE, OR ANY SERVICES, INFORMATION OR PRODUCTS FROM THIS SITE, OR ANY VIOLATION OF THIS AGREEMENT.

The TOU constitute the whole legal agreement between you and TCC and govern your use of the Services ( excluding only any services which TCC may provide to you under a separate written agreement ), and completely replace any prior agreements between you and TCC in relation to these Services.

You agree that if TCC does not exercise or enforce any legal right or remedy which is contained in the TOU (or which TCC has the benefit of under any applicable law), this will not be taken to be a formal waiver of TCC’s rights and that those rights or remedies will still be available to TCC.

You agree that the TOU and the relationship between you and TCC shall be governed by the laws of the State of Nevada without regard to its conflict of law provisions and that any and all claims, causes of action or disputes (regardless of theory) arising out of or relating to the TOU, or the relationship between you and TCC, shall be brought exclusively in the courts located in the county of Clark, State of Nevada.
